外貿合同書樣本
公司________(以下簡稱賣方)與公司________(以下簡稱買方)訂立合同如下：
第一條合同標的
賣方賣出、買方購入商品。商品應符合下文第四條款中所確定的清單no1。該清單為本合同的附件，是本合同不可分割的組成部分。
第二條價格和合同總金額
在清單no1中所載明的商品價格，以美元計價。本合同總金額為________。
商品價格包括運抵________的一切費用，同時包括在獨聯體境外預付的包裝、標記、保管、裝運、保險的費用。
第三條供貨期限和日期
商品應賣方銀行通知保兌的、與第二條所列金額相符的有效信用證時起60天內從公司運往________。
賣方有權提前供貨，也有權視情況一次或幾次供貨。
第四條商品品質
商品品質和數量由買賣雙方以書面協議確定，在本合同附件清單no1中載明。清單no1附在本合同上(見第一條)。
第五條包裝和標記

第六條支付
買方應在本合同簽訂后20個工作日內開立以賣方為受益人、不可撤銷的、可分割的、可轉讓的跟單信用證。該信用證的總金額在合同第二條中載明，其有效期至少80天。
信用證由賣方選擇的、法律上承認的________銀行開立并確認。以信用證付款憑賣方向銀行提交以下單據進行：
－－發票一式三份；
－－全套買方名義下的運輸單；

第七條商品的交接

第八條保險
根據上文第二條由________對商品在運抵________港之前進行保險。
第九條品質保證
商品品質應符合清單no1(見上文第四條)。買方沒有義務接收不符合清單no1(見第四條)的商品。
買方可以不加解釋和不出示證據退還未被接收的商品(見下文第十條)。
根據下文第十條，賣方應在收到買方理由充分的索賠書時起30天內如數更換未被接收的商品，以保證完全按照本合同規定運送貨物。
第十條索賠
商品運到時，買方有權就商品的數量向賣方提出索賠(見第七條)，反之，買方接收共同指定的檢查員確定的數量的商品。買方可以就商品品質不合格向賣方提出索賠。所有運抵的商品如果沒有以適當的方式拒收或退回，都被認為買方已經接收。
有充分理由退還和拒收的商品都被認為賣方供貨不足，同時免除對買方就拒收商品的支付或賠償提出任何異議。檢查員最終確定有充分理由拒收和退回商品的數量。
在商品原封不動或無損壞退還賣方的情況下，未超出檢查員確定的界限的商品的拒收，無需經商品不合格證明，在規定的期限內，根據必需的手續，應由賣方無條件承認。
買方索賠函用掛號信寄給賣方。
就某一批商品提出索賠，不能成為索賠方拒收和拒付根據本合同所規定的其它應供應的商品的理由。
第十一條不可抗力
出現不可抗力，即火災、自然災害、封鎖、禁止進出口和其它合同雙方人力不可抗拒的情況造成合同某一方不能完全或部分履行合同義務時，按不可抗力與其后果存在的時間推遲履行合同義務。
如果上述情況與其后果持續達三個月以上，任何一方都有權拒絕繼續履行本合同項下的義務。在此情況下，任何一方都無權要求補償可能的損失。
由不可抗力造成不能履行合同義務的一方應盡快將妨礙履行義務的不可抗力的出現和終止情況通知另一方。由賣方或買方國有關商會出具的證明是上述不可抗力情況出現的必需證明。
第十二條罰則
如違反本合同規定的貨物抵達期限，賣方應向買方支付罰金，罰金數額規定如下：
－－在最初三周內每過期一個日歷周支付未交商品總金額的1％；
－－以后每過期一個日歷周支付未交商品總金額的2％，但罰金總額不能超過未交商品總金額的15％。
第十三條其它條件
任何一方在沒有征得另一方書面同意的情況下不得將自己對本合同的權利和義務轉讓給第三者，盡管信用證可以轉讓，是可以按規定程序轉讓的。
對合同的一切修改和補充意見只有以書面形式形成并經雙方簽字后才有效。
在獨聯體境內的一切費用和規費，包括海關規費和關稅，與訂立、履行本合同有關的費用，由買方承擔，在獨聯體境外，則由賣方承擔。
本合同用中、俄兩種文字書就，兩種文本具有同等法律效力。
第十四條仲裁
由本合同派生或與本合同有關的一切爭議和分歧由國際仲裁機構審理。
